The question is not whether to set up, but how you staff and structure it.

What follows is the standard route for an IT company with foreign shareholders, with the points that decide the economics: how developers are engaged, and when to register for VAT.

Setting Up an IT Company Is the Easy Part

Software development, IT consulting, data processing and hosting are unregulated trades under the Trade Licensing Act (Act No. 455/1991 Coll.): no qualification, no professional body, no responsible representative. The company is an s.r.o. under Act No. 90/2012 Coll. – one notarial deed, share capital from CZK 1, up to 100% foreign ownership, no residency requirement. It can be trading within days, which is what Axevera’s legal and corporate consulting handles as routine.

Two compliance regimes matter more than the licence. Data protection runs on the GDPR with Act No. 110/2019 Coll., familiar to anyone already operating in the EU. Newer and more often missed: the new Cybersecurity Act, in force since 1 November 2025, transposes NIS2 and pulls managed service providers, cloud and data-centre operators into registration, risk-management and incident-reporting duties. Scope depends on what you sell and to whom – worth settling before a client asks you to certify it in a tender.

The Talent, and Where It Actually Sits

Some 135,000 ICT specialists work in the Czech Republic, and the supply is not accidental: the Czech Technical University in Prague, Brno University of Technology and the Faculty of Informatics at Masaryk University turn out graduates with strong mathematical fundamentals rather than framework familiarity alone. The ecosystem is real – JetBrains, Avast, Kiwi.com, Productboard and Mews were built here, and Red Hat runs its largest engineering centre outside the United States in Brno – so the people you want have usually worked in a product company before. Prague and Brno are the two clusters and differ on salary and office cost; Brno, Ostrava and Plzeň are materially cheaper at the same seniority.

What People Cost – and the Freelance Model That Answers It

Be clear: IT is not where the Czech Republic is cheap. ICT specialists averaged around CZK 100,000 gross a month in 2025, near CZK 105,000 for developers – close to double the national average and, in gross terms, at or above the same profile in Italy. Employer contributions run to 33.8%, marginally above the Italian level, so there is no saving there either.

The advantage sits on the other side of the payslip. Personal income tax is 15% up to CZK 1,762,812 a year, about €72,700, and 23% only above that, with no regional or municipal surcharges. An Italian employer paying a senior developer €70,000 gross funds a 43% marginal bracket plus addizionali; the Czech employer of the same developer funds 15%. The same gross buys a visibly better net – which is what competes for the candidate.

Second, and specific to this sector: Czech IT works extensively with independent contractors. An OSVČ with their own trade licence can use the flat-rate regime (paušální daň), whose CZK 2,000,000 ceiling sits within a few thousand euro of the Italian forfettario but is settled as a single monthly payment covering income tax, social security and health insurance together – roughly CZK 9,000 in the first band – with no annual return. The line to respect is švarcsystém: a contractor who works like an employee gets reclassified, with retroactive contributions. Contracts, autonomy and invoicing practice have to match the substance, which is worth structuring properly once, at the start.

Bringing in Specialists from Outside the EU

For Italian and other EU founders and freelancers none of this arises: freedom of establishment means a trade licence and a residence registration, no visa, no work permit. The useful part is the fast track for everyone else.

The Government’s Digital Nomad Programme, extended in January 2025 to twelve countries – the United States, United Kingdom, Canada, Australia, New Zealand, Japan, South Korea, Taiwan, Singapore, Israel, Brazil and Mexico – covers the two profiles an IT company uses: a specialist working remotely for a foreign employer, and a freelancer operating as a Czech-licensed OSVČ. It applies to IT and, since 2025, marketing specialists, asks for income of about 1.5 times the average wage (roughly CZK 73,000 a month at 2026 levels), lets family follow, and carries a guaranteed 45-day decision instead of three to four months. Nationals of other countries – Ukraine, India, Serbia – go through the Employee Card (Act No. 326/1999 Coll.) or the Qualified Employee Programme: slower, but well-trodden.

Tax: 21% Flat, and a 150% R&D Deduction from 2026

Corporate income tax is 21% (§ 21, Act No. 586/1992 Coll.), national, with no municipal or regional surcharge and no IRAP-style parallel levy – against an Italian 24% IRES plus roughly 3.9% IRAP.

The bigger number for a software company is the research and development deduction under §§ 34a–34e of the Income Tax Act. From 1 January 2026 it rises from 100% to 150% of qualifying costs, capped at CZK 50 million per deduction group, with unused amounts carried forward five years instead of three and no longer only in a low-base or loss year. Every crown of qualifying spend therefore generates an extra CZK 1.50 of deduction – about 31 haléř of tax at 21%, on top of ordinary deductibility. The Italian tax credit for R&D returns 10% of the eligible base.

The test is technical novelty and the systematic resolution of technical uncertainty: much genuine product development meets it, routine implementation work does not. Audits are decided by documentation – a project file drawn up before the work starts, separate cost records, defensible time tracking – and case law is unforgiving about percentages applied after the fact.

The VAT Question That Hits Software Companies First

A Czech company invoicing business clients elsewhere in the EU meets the VAT rules before any turnover threshold: services with the place of supply abroad make it an identified person under §§ 6g–6l of the VAT Act, which is not the same as a VAT payer and gives no right to recover input VAT on Czech costs, offices, hardware, subcontractors, licences. Compulsory registration arrives only above CZK 2,000,000 of turnover, so for a company with Czech costs and foreign revenue waiting is usually wrong and voluntary registration under § 6f is right, granted only against evidence of a real and imminent taxable activity. We prepare that reasoned application.

A Safe and Stable Base

The Czech Republic ranks consistently among the ten most peaceful countries in the world in the Global Peace Index, with a stable legal framework, an EU-harmonised data regime and none of the political risk premium that complicates some nearshore alternatives. For a company placing client data and an engineering team in one jurisdiction that is not a soft argument, and the administration behind it sits with Axevera’s administrative and secretarial support.

Conclusions

The tax framework beats the Italian one at almost every line: 21% against 24% plus IRAP, 15% personal income tax where Italy charges 35% or 43%, a 150% R&D deduction against a 10% credit. What needs thought is the people: salaries are high, the freelance model is the norm and has to survive scrutiny, and non-EU specialists have a fast track worth using. Get the engagement model and the VAT position right in month one and the rest is administration.

FAQ

Do I need a licence or qualification to sell software in the Czech Republic?

No. Software development, IT consulting, data processing and hosting are unregulated trades under Act No. 455/1991 Coll., registered on notification.

What does a Czech developer cost compared with an Italian one?

In gross terms, much the same or slightly more: ICT specialists averaged around CZK 100,000 a month in 2025. The difference is tax: 15% up to CZK 1,762,812 a year against Italian brackets of 35% and 43% plus surcharges.

How does the 2026 R&D deduction work?

From 1 January 2026, §§ 34a–34e of Act No. 586/1992 Coll. allow 150% of qualifying R&D costs to be deducted on top of their ordinary deductibility, capped at CZK 50 million per group, with a five-year carry-forward.

Can I work with freelancers instead of employees?

Yes, and Czech IT does so widely. Contractors hold their own trade licence and may use the flat-rate regime up to CZK 2,000,000 a year. The arrangement must be genuinely independent, or it is reclassified as disguised employment (švarcsystém).

Can a non-EU specialist come as a freelancer?

Often yes. The Digital Nomad Programme covers nationals of twelve countries – among them the United States, United Kingdom, Canada, Japan and Israel – as remote employees or as Czech-licensed OSVČ, with income of about 1.5 times the average wage and a 45-day decision. EU citizens need no visa at all.

Do I have to register for VAT immediately?

Registration is compulsory above CZK 2,000,000 of turnover, but invoicing EU business clients makes you an identified person from the first invoice, with no input VAT recovery. Voluntary registration under § 6f is usually preferable.

For a software company the Czech Republic is administratively one of the simplest places in the EU to set up – IT services are an unregulated trade, an s.r.o. takes…

[855
["post-18467","post","type-post","status-publish","format-standard","has-post-thumbnail","category-blog-en
["GET
