There are many advantages and concessions for those wishing to open a company in the Czech Republic: among the many, we find a particularly favorable tax system, a low cost of services and utilities, a strong willingness of the Czech state to welcome professionals, entrepreneurs, and foreign direct investments.

Open a European company

The European company is very widespread in the Czech Republic, the internal legislation provides certain advantages and benefits that the other EU Member States have not foreseen. The European Company is taxed according to Czech regulations at 19%, furthermore, Czech law allows shareholders to subscribe to bearer shares. The Czech Republic is also one of the Member States that has decided to require European companies to match the address of the central administration with the registered office.

The European Company (SE) is a form of a company established and governed by the Regulation of 8 October 2001 no. 2157. The SE is a company, with a legal personality, whose capital is divided into shares, each shareholder is liable only within the limits of the subscribed capital. The main advantage of the European Company over the joint-stock company is the ability to quickly transfer the company’s headquarters to another country of the European Union without dissolving the company or changing the by-laws

Open a European company: organization and management

The European company is composed of three different constituent bodies, each of which has different tasks:

a general meeting of shareholders

a management board supported by a supervisory board (two-tier system)

an administrative body (one-tier system)

The organs of an SE may last for a maximum of 6 years.

The two organizational forms: dualistic and monistic

In the two-tier system, the management body manages the SE under its own responsibility and the members of the management body are appointed and removed by the supervisory body. The latter controls the management ensured by the management body, but cannot itself exercise the management power of the Company. The statutes of the SE establish the number of members of the management body or the rules for determining this. However, a Member State may set a minimum and/or a maximum number of members.

In the one-tier system, the statutes of the SE establish the number of members of the management body or the rules for determining this. However, a Member State may set a minimum and, where appropriate, a maximum number of members. However, this body must be composed of at least three members if employee involvement in the SE is organized following the Directive 2001/86 / EC. The member or members of the administrative body are appointed by the general meeting. However, the members of the first management body can be designated by the statutes of the SE. The management body meets at least every three months, according to a periodicity established by the articles of association, to deliberate on the business trend of the SE and on their probable evolution.

Opening a European company: how to do it

The two main bureaucratic procedures that must be taken into account if you want to open a company in the Czech Republic are registered with the Commercial Register of Companies and obtaining an operating license, an essential document that differs according to the type of activity turning point.

· All legal persons listed above in the Law of Companies and Cooperatives must be registered in the Commercial Register of Companies, a public list held by the competent court and subject to the Ministry of Justice of the Czech Republic.
